Reference is made to the stock exchange notice dated
15 September 2009. Norse Energy Corporation ("NEC")
has on 15 September 2009 completed a private
placement for a total of 35,316,453 new shares,
representing approximately 10% of the registered
share capital. The private placement was
oversubscribed and the subscription price was set to
NOK 3.85 per share, giving gross proceeds of
approximately NOK 136 million.

flexibility as well as a stronger shareholder base"

transaction.
Payment for allocated shares will be on or about 21
